ACCEPTANCE OF AGREEMENT

The term “Expert” or “Key Opinion Leader” (KOL) shall have its normal meaning as understood in the English language, and without limitation on such meaning, refers to and includes any individual with a high degree of expertise in a specific area
The term “Client” or “Customer” refers to any individual or organization seeking information on specific healthcare markets, for themselves or for others. Associates, Consultants, Partners, Investors in need of information on the healthcare industry are all examples of Clients or Customers; however, the term here includes anyone who uses our services.
The term “DeciBio Community” refers to “us” and all of “you”, the users of our Site.
As a DeciBio Client or Customer, you will abide by the Refund Policy outlined in the Refund Policy and consider decision made by DeciBio to be final.

UPDATES OF TERMS OF USE

We reserve the right to amend these Terms from time to time at our discretion as outlined in Updates of Terms of Use. It is your responsibility periodically to review this page for updates to these Terms which shall come into effect once posted. Your continued use of the Site constitutes automatic acceptance of these Terms including our Privacy Policy. You may only amend these Terms as they apply to you with a document signed by both of us.

Any material change to this agreement will be communicated on top of this page, as well as our website homepage for a minimum of 1 week or emailed to you immediately following the update.

COLLABORATORS

Collaborators Using DeciBio

As a collaborator registered with DeciBio, you agree that:

You will read and abide by the commission policy, refund policy, and privacy policy, before using DeciBio
You are fully responsible for the content you provide, and accuracy to the best of your knowledge of the information within the reports
You have the required qualifications, credentials and expertise, including without limitation, education, knowledge and skill sets, to write the reports
You will not post any inappropriate, offensive, false, defamatory or libelous content
You will not distribute viruses, post spam, chain mails or other such data
You will not use DeciBio for any business other than for providing market research information to its customers
You will not copy, modify or distribute content from our site or any of the DeciBio user pages, including trademarks and copyrights
You will not manipulate or interfere with other collaborators using DeciBio pages

If you are in a state, locale, or country where any form of market research services requires a license or other form of governmental permission, you shall not use this site or act as an expert until such license and permission is obtained

VERIFICATION OF SCIENTIFIC COLLABORATORS

DeciBio LLC does not hire or employ collaborators. Collaborators are independent contractors. We explore the accuracy or legitimacy of the information provided by collaborators by reviewing their academic and other credentials.

ADDITIONAL RESTRICTIONS FOR COLLABORATORS

To the extent not covered above, you agree not to:

Upload, post or otherwise transmit any Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive to another’s privacy (up to, but not excluding any address, email, phone number, or any other contact information without the written consent of the owner of such information), hateful, or racially, ethnically or otherwise objectionable;
Impersonate any person or entity, including, but not limited to, staff member or volunteer, or falsely state or otherwise misrepresent your affiliation with DeciBio LLC, or any other person or entity;
Forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content
Upload, post or otherwise transmit any Content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
Upload, post or otherwise transmit any Content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party; dilutes trademark rights, violates rights of publicity, rights of privacy, or violates any rights defined by the Patent, Trademark, Copyright and Unfair Competition laws of any country or locality.
Upload, post or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation;
Upload, post or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
Interfere with or disrupt our services and/ or servers or networks connected thereto, or disobey any requirements, procedures, policies or regulations of networks connected to our servers.
Intentionally or unintentionally violate any applicable local, state, national or international law, or regulation including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange, or the NASDAQ, and any regulations having the force of law;
“Stalk” or otherwise harass another person or company;
Collect or store personal data about other users for business purposes;
Promote or provide instructional information about illegal activities, promote physical harm or injury against any governmental entity, group or individual, or promote any act of cruelty to animals. This may include, but is not limited to, providing instructions on how to assemble bombs, grenades, and other weapons or incendiary devices;
Use our Website as a forwarding service to another website;
Allow usage by others in such a way as to violate our Terms of Service;
Engage in the following prohibited commercial activities within the site;
Displaying a banner that is designed to profit you or any other business or organization; and
Displaying banners for services that provide cash or cash-equivalent prizes to users in exchange for hyperlinks to their web sites;
Employ tactics to prevent the full and complete display of advertisements on our Website;
Solicit passwords or personal identifying information for unintended, commercial or unlawful purposes from other users.

COMMISSION POLICY

Joining DeciBio, browsing for reports and listing services is free. We charge collaborators a maximum commission of 30% on every completed transaction for using the site. DeciBio may choose to temporarily change the fees for our services for promotional events (e.g., discounts) or new services, and such changes are effective when DeciBio posts the temporary promotional event or new service.
Unless otherwise stated, all commission fees are quoted in U.S. Dollars.

ABUSE OF DECIBIO

The content of the profile pages is the responsibility of the collaborator; collaborators using DeciBio are required to abide by DeciBio policies.

However, DeciBio and its community of collaborators and other interested organizations, work together to ensure that the site works properly and that the information contained in reports is accurate and insightful. If you notice problems, incorrect content, please report it to us. We will conduct an investigation, and take remedial actions, including but not limited to, terminating collaborator accounts, prohibiting access to our website, removing reports, taking technical and legal measures, to maintain the outmost quality of reports on the Site.

Permitted use and limitations on use

As a client searching for a report using DeciBio, you agree that:

You will read and abide by the refund policy and privacy policy before using DeciBio
If you are under the age of 18, you will get parent or legal guardian consent before buying any report
You will not manipulate or interfere with any of the DeciBio pages

You may print a single copy of the material downloaded on this site. This material is for your use only, or for use for a unique client of yours. DECIBIO REFUND POLICY

As a DeciBio user, you agree not to:

LIMITATIONS OF LIABILITY

Our contracts with certain of our suppliers may provide for scheduled maintenance and preventative, required and emergency maintenance work. You hereby agree to the jurisdiction and venue of such court with respect to such suit and waive any objections to such jurisdiction and/or venue of such court.
